5. DELIVERY AND RETENTION OF TITLE

1. Retention of Title: The boat and all associated components remain the unrestricted property of the seller until the entire purchase price has been paid in full.

5. Transfer of Risk: Upon delivery, all risks and the obligation to insure are transferred to the buyer.


6. WARRANTY AND REPRESENTATIONS

  1. 1. Seller’s Representation: The seller represents that they are the sole and lawful owner of the object of purchase and that it is free from third-party rights (e.g., liens, financing).
  2. 2. Exclusion of Liability for Material Defects: The boat is sold “as is, where is” under exclusion of any liability for material defects (warranty). The buyer confirms to have inspected the boat and to be familiar with its condition.
  3. 3. Exceptions to the Exclusion: Unaffected by the exclusion mentioned under 6.2 are:
    • Claims for damages based on a grossly negligent or intentional breach of the seller’s duties.
    • Claims for injury to life, body, or health.
    • Claims arising from the breach of the representation made under 6.1 (defects of title).
  4. Any existing warranty or guarantee claims of the seller against third parties (e.g., yard, engine manufacturer) are hereby assigned to the buyer.

7. FINAL PROVISIONS

3. Severability Clause: Should individual provisions of this agreement be or become ineffective, the validity of the remaining provisions shall not be affected.
